NOW, THEREFORE, by virtue of the powers and duties vested in me by law, I do hereby certify that the said Articles of Incorporation were, after due examination to determine whether they are in accordance with law, duly registered in this Commission on the 30^th day of May, Anno Domini, Nineteen hundred and seventy-five.

ARTICLES OF INCORPORATION

“VALLE VERDE COUNTRY CLUB, INC.”

KNOW ALL MEN BY THESE PRESENTS:

That WE, all of legal age, residents of the Philippines, have this day voluntarily associated ourselves together for the purpose of forming a corporation under the laws of the Republic of the Philippines,

AND WE DO HEREBY CERTIFY:

FIRST: – That the name of the corporation shall be “VALLE VERDE COUNTRY CLUB, INC.”

SECOND: – That the corporation is not organized for profit and no portion of its net income shall inure or be distributed among the members thereof.

THIRD: – That the purpose for which this corporation is being organized are as follows:

1. – To faster, promote and conduct legitimate athletic exercises, sports, recreational and social activities as well as entertainments of all sorts;
2. – To establish, construct and maintain a club house;
3. – To purchase, lease or otherwise acquire such real and personal property, athletic or other equipment as may be necessary or convenient in connection with the conduct of affairs of the corporation;
4. – As may be determined by the Board of Directors, to invest in and deal with the moneys and properties of the corporation in such manner as may from time to time be considered wise or expedient for advancement of its interests;
5. – To borrow or raise money to meet the financial requirements of the corporation;
6. – To do each and everything necessary, suitable or proper for the accomplishment of any of the purposes of the attainment of any one or more of the subjects herein enumerated, or which shall at any time appear conducive to or expedient for the protection or benefit of the corporation.

FOURTH: – That the principal office of this corporation shall be situated in the Municipality of Pasig, Province of Rizal, Philippines.

FIFTH: – That the term for which this corporation is to exist is Fifty (50) Years from and after the date of incorporation.

EIGHTH: – That the corporation shall have no shares of stock and that membership therein and the right or participation in its assets shall be acquired and enjoyed by the proprietary members of the corporation who shall upon admission pay a proprietary membership fee as provided in the By-Laws; provided that each proprietary membership fee certificate shall represent a pro-rata equity in the assets of the corporation; that the voting powers in the corporation are vested in the proprietary members, and each proprietary membership fee certificate shall represent one vote.

NINTH: – That this corporation shall be maintained by contributions coming exclusively from the proprietary members and such other types of members as are or may be admitted in the corporation in accordance with the By-Laws.

TENTH: – That the present members are in the incorporators herein and that the names, citizenships and addresses of additional members to be admitted in the future pursuant to the By-Laws shall be submitted to the Securities and Exchange Commission from time to time
